Terms of Service

1. Acceptance of Terms

By using Eranya Digital's services or contacting us for consultation, you agree to the following terms and conditions. If you do not agree, please do not use our services.

2. Service Definition

Eranya Digital provides website creation, web application, and other digital solution services, including:

  • Digital strategy consultation
  • Website design and development
  • Hosting and domain management
  • Maintenance and support
  • SEO and performance optimization

Specific scope is determined in project proposals or written contracts.

3. Project Process and Timeline

3.1 Timeline Estimates

Provided timelines are estimates and may change based on:

  • Complexity of change requests from client
  • Delays in providing content/assets from client
  • Technical factors beyond our control (hosting downtime, third-party API issues)

We will inform timeline changes as soon as possible.

3.2 Revisions

Number of revisions included in packages:

  • Launch Plan: 2x design revisions
  • Growth Plan: 3x design revisions
  • Authority Plan: 3x major design/structure revisions, and 5x minor revisions (colors, text, spacing).

Revisions outside initial scope or fundamental changes will incur additional charges. Scope changes include:

  • Adding new pages (outside original proposal)
  • Fundamental design changes after approval
  • Integrating new features (payment gateway, booking system, membership area, etc.)
  • Platform/technology changes (e.g., from Astro to WordPress)

Additional costs will be communicated and approved before work begins.

4. Payment and Refund

4.1 Payment Scheme

  • Down Payment: 50% paid before project starts
  • Final Payment: 50% paid before website launch

4.2 Refund Policy

  • Before work starts: 100% refund (minus 5% admin fee)
  • After work starts: Down payment non-refundable
  • After website completion: No refunds

Exception: If we fail to complete the project within 2x estimated timeline without clear reason, you're entitled to full refund.

4.3 Late Payment

Project will be paused if payment is delayed more than 14 days. Penalty fee of 2% per month may apply for delays exceeding 30 days.

5. Ownership and Intellectual Property

5.1 Client Ownership

After full payment, you own:

  • Domain name
  • Website content (text, images you provided)
  • Database and user data

5.2 Eranya Digital Ownership

We retain rights to:

  • Source code framework and base templates (if using templates)
  • Custom tools and libraries we develop internally
  • Right to showcase your project in portfolio (with your permission)

5.3 Usage License

You receive a non-exclusive, perpetual license to use the website we build. You're free to modify or move the website to another developer after project completion.

5.4 Infrastructure and Technical Access

What You Receive:

  • Domain name (registered in your name or transferable)
  • CMS access to manage website content (if included in package)
  • Regular data and content backups
  • Analytics dashboard (if included in package)

What We Retain:

  • GitHub repository and source code
  • Cloudflare account and hosting infrastructure
  • Development environment and deployment pipeline
  • CMS backend access and technical configuration

Why This Model:

We manage centralized infrastructure (GitHub, Cloudflare) to ensure security, performance, and ease of maintenance. This allows us to provide fast support and regular updates without risk.

If You Want to Move to Another Developer:

We will provide a full export including:

  • Compiled website (HTML/CSS/JS) ready to deploy
  • Complete database backup
  • Content export from CMS
  • Setup documentation

If you need raw source code access (for independent development), a separate licensing fee of 30-40% of original project price applies. This covers licensing of proprietary frameworks and templates we've developed over years, plus complete technical documentation for independent development.

5.5 Annual Renewal (Domain & Hosting)

Split Renewal Policy:

We separate renewal policies for Domain and Hosting to ensure the security of your digital assets.

A. Payment Policy (Strict Policy):

  • The total annual renewal invoice (maintenance, hosting, domain) must be paid at least 50% minimum 14 days before expiration.
  • This payment is required to process the renewal of third-party assets (Domain) on time.
  • If minimum 50% of the total invoice is not received on schedule, we will NOT process the domain renewal, which may result in domain expiration and restoration penalties.

B. Hosting (30-Day Grace Period):

  • We provide a Hosting Grace Period of 30 days after expiration.
  • During this period, website data is safe and will not be deleted.

Late Payment Consequences:

  • Day 1-14 after expiration: Website remains active, Rp 100,000 administrative fee added
  • Day 15-30: Website displays "maintenance mode" warning to visitors, 2% per month penalty fee added
  • After 30 days: Website suspended (offline) until payment received

Clients with Good Track Record:

For clients who have made on-time payments for 12 consecutive months, grace period extends to 45 days before full suspension.

Domain Ownership:

Domain remains your property. If you decide not to continue hosting with us, domain can be transferred to another provider anytime (free, no transfer fee from us).

5.6 Business Continuity Protection

If Eranya Digital Ceases Operations:

If Eranya Digital stops operating or is unable to provide services for 90+ consecutive days, then:

  • Source code and infrastructure access will be automatically transferred to you at no additional cost
  • Complete documentation for self-hosting will be provided
  • We will assist with transition to a new developer (if needed)

This ensures your digital investment remains secure even if something unexpected happens to our business.

6. Responsibilities and Liability Limitations

6.1 Our Responsibilities

We're responsible for:

  • Building website according to agreed scope
  • Providing technical support according to selected package
  • Maintaining client data confidentiality

Support Response Times:

  • Critical bugs (site down): Response within 24 hours
  • Non-critical issues: Response within 3 business days
  • Feature requests: Offered as separate service (with quotation)

Note: Response time = time we provide initial response, not problem resolution time.

6.2 Liability Limitations

We are NOT responsible for:

  • Business losses due to website downtime (force majeure, DDoS attacks, etc.)
  • Illegal content or copyright violations you upload yourself
  • Damage from third-party modifications without our knowledge
  • Data loss if you don't perform independent backups (we do automatic backups, but additional backups recommended)

Maximum Liability: Our liability is limited to total project value paid.

6.3 Uptime Disclaimer

We target 99.9% uptime but don't guarantee 100% due to factors beyond control (hosting provider maintenance, cyber attacks, natural disasters). We'll provide notification for planned maintenance at least 24 hours in advance.

7. Content and Materials

7.1 Content Provision

Client is responsible for providing:

  • Website text and copy
  • Logo, photos, videos
  • Product/service data

If client chooses package with AI Content Drafting, we'll help create drafts for client review and approval.

7.2 Content Legality

Client warrants that all provided content:

  • Doesn't violate third-party copyrights
  • Doesn't contain illegal content (hate speech, pornography, fraud)
  • Complies with Indonesian regulations (UU ITE, consumer protection)

In case of violation, client is fully responsible for legal consequences.

8. Confidentiality

We commit to:

  • Not sharing your business information with competitors
  • Maintaining confidentiality of sensitive data (business strategy, customer database)
  • Not using your data for personal or third-party interests

Exception: If required by law (court summons, tax audit).

9. Service Termination

9.1 By Client

You can cancel project anytime with consequences:

  • Down payment non-refundable (if work has started)
  • We'll hand over work results up to cancellation point

9.2 By Eranya Digital

We reserve the right to terminate project if:

  • Client unresponsive for 30 consecutive days
  • Payment not made after 3rd reminder
  • Fraud indicators or illegal purposes found

In this case, paid funds will be refunded proportionally according to completed work.

10. Dispute Resolution

In case of dispute:

  1. Mediation: We'll attempt to resolve amicably
  2. Arbitration: If mediation fails, BANI arbitration (Badan Arbitrase Nasional Indonesia)
  3. Court: Applicable law is Indonesian law, jurisdiction in Jakarta

11. Terms & Conditions Changes

We may update these T&C at any time. Changes will be communicated via email or website notification. For ongoing projects, applicable T&C is the version at contract signing.
